Terms & Conditions / Terms of Service

Memorly Technologies Private Limited (“Memorly”, “we”, “our”, “us”)

1. Acceptance

By accessing or using memorly.ai and the Services, you agree to these Terms. If you do not agree, do not use the Services.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Definitions

  • “Services”: Memorly platform, website, apps, agent studio, integrations, AI credits, and related services.
  • “Customer”: the business/entity subscribing to the Services.
  • “Authorized Users”: users invited by Customer to access the account.
  • “Customer Content”: data, messages, contacts, files, templates, conversation content, and materials submitted to the Services by Customer or end-users through Customer’s agents.
  • “AI Credits”: usage-based credits, if purchased/used.
  • “Platform Fees”: subscription/onboarding/add-ons/other non-credit charges.

3. Eligibility & Account Responsibilities

  • You must provide accurate account information and keep it updated.
  • You are responsible for activity under your account and for maintaining credential confidentiality.
  • You agree not to share accounts unlawfully or allow unauthorized access.

4. Acceptable Use

You agree not to:

  • use the Services for illegal, harmful, deceptive, or abusive activities
  • violate any third-party platform terms (including messaging platform policies)
  • send spam or unsolicited messages
  • attempt to reverse engineer, disrupt, or exploit the Services
  • upload malware or interfere with security
  • process personal data without having a valid lawful basis and required notices/consents

We may suspend or terminate access for violations.

5. Customer Content & Responsibilities

You retain ownership of Customer Content. You grant Memorly the limited rights necessary to host, process, transmit, and display Customer Content solely to provide the Services.

You are responsible for:

  • ensuring Customer Content is lawful
  • providing appropriate notices and obtaining consents from end-users where required
  • ensuring you have rights to upload and use Customer Content

6. AI Features Disclaimer

AI outputs may be inaccurate or incomplete. You are responsible for reviewing outputs before using them for business, legal, medical, or financial decisions. Memorly does not guarantee any specific outcome from AI features.

7. Subscriptions, Billing & Taxes

7.1 Billing

Platform Fees and AI Credit purchases are billed as per your selected plan/order/invoice. If enabled, subscriptions may auto-renew unless canceled.

7.2 Payments

Payments may be processed via third-party payment processors (for example, Razorpay). You authorize us and our processors to charge your chosen payment method according to your plan and any applicable add-ons/credits.

7.3 Taxes

Prices may be exclusive of applicable taxes unless stated otherwise. You are responsible for applicable taxes, duties, or levies as per law.

8. Cancellation & Refunds

Cancellation and refunds are governed by our Cancellation & Refund Policy, which is incorporated into these Terms by reference. In case of conflict, the Cancellation & Refund Policy will govern refunds.

9. Intellectual Property

Memorly and its licensors own all rights in the Services, including software, design, logos, and documentation. You may not copy, modify, distribute, sell, or lease any part of the Services unless permitted in writing.

10. Confidentiality

Each party may receive the other’s confidential information. You agree to protect confidential information using reasonable care and use it only for purposes of using/providing the Services.

11. Privacy & Data Protection

Our processing of personal data is described in our Privacy Policy, incorporated by reference.

11.1 Data Residency

Memorly follows regional storage:

  • India customers → India
  • US customers → United States
  • EU customers → European Union (or EEA where applicable)

Limited cross-border access may occur for support/security as described in the Privacy Policy.

11.2 Processor Terms

Where Memorly acts as a processor for Customer Content, we process it on Customer’s instructions to provide the Services.

12. Third-Party Services & Integrations

Integrations (messaging providers, CRMs, payment processors, analytics, etc.) are governed by third-party terms. Memorly is not responsible for third-party services availability, performance, or policy changes.

13. Suspension & Termination

We may suspend or terminate access:

  • for violation of these Terms
  • to comply with law or payment disputes/chargebacks
  • to protect security and platform integrity

Upon termination, your right to use the Services ends. Any outstanding dues remain payable.

14. Disclaimers

Services are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

To the maximum extent permitted by law:

  • Memorly will not be liable for indirect, incidental, special, consequential, or punitive damages.
  • Our total liability for any claim will not exceed the amount paid by you to Memorly for the Services in the 3 months preceding the event giving rise to the claim (or a different cap if required by applicable law).

16. Indemnity

You agree to indemnify and hold Memorly harmless from claims arising from:

  • your misuse of the Services
  • Customer Content
  • violation of law or third-party rights
  • failure to obtain required consents/notices from end-users

17. Governing Law & Jurisdiction

These Terms are governed by the laws of India.

Courts at Bengaluru, Karnataka shall have jurisdiction, subject to any mandatory legal requirements.

19. Changes to Terms

We may update these Terms from time to time. Updated Terms will be posted on our website and apply going forward.

20. Entire Agreement

These Terms, together with the Privacy Policy and Cancellation & Refund Policy, form the entire agreement between you and Memorly regarding the Services.
